Terms of Service

These Terms of Service (the "Terms") govern access to the website ai-renovation.org and to the services provided by AI Renovation (the "Company"), including the Run Console and the processing of Capture Sets into Scope Packs (together, the "Service"). By using the Service you accept these Terms on behalf of the organisation you represent (the "Client").

1. The Service

The Company provides a scan-to-scope service for existing buildings. The Client, or a surveyor acting for it, uploads a Capture Set (laser scan stations and images of a building). The Company registers the Capture Set (Capture Ledger), reconstructs the building (Reconstruction Run), labels its elements (Element Labeller) into an As-Built Model and an Element Ledger, measures and prices quantities by trade lot with the Client's unit-rate library (Trade Lot Takeoff), computes the per-element deviation between scan and model (Residual Map), simulates retrofit works bundles on a calibrated thermal model (Scenario Simulator, Retrofit Frontier), and delivers the results as a Scope Pack. Programme customers and design partners also receive access to the Run Console for their own programmes.

The Service description, the accuracy commitments, and the turnaround published on ai-renovation.org at the date of an order form part of the contract for that order.

2. Accounts and access

Accounts are created by the Company for the Client's named users after a data processing agreement is signed. There is no self-service registration. The Client is responsible for keeping credentials confidential, for the actions taken under its users' accounts, and for telling the Company without delay when a user leaves or credentials are compromised. The Company may suspend an account to protect the Service or the data it holds.

3. The Client's content and instructions

The Client warrants that it owns or manages each building in a Capture Set, that it has informed residents and holds any authorisation needed to capture and process the imagery, that metered consumption data is supplied lawfully, and that its unit-rate library may be used to price the Trade Lot Takeoff. The Client remains the controller of the personal data contained in Capture Sets; the Company processes it as a processor under the data processing agreement, which prevails over these Terms for that processing.

The Client grants the Company a licence to store, process, and reproduce Capture Set content and derived artifacts for the sole purpose of providing the Service to the Client and, in anonymised and aggregated form that identifies no building, no resident, and no client, to measure and improve the accuracy of the Service. Any other use requires the Client's written agreement.

4. Acceptable use

The Client shall not use the Service to process buildings it has no right to capture, upload content it has no right to hold, attempt to access other clients' programmes, reverse engineer the Service, probe or disrupt its infrastructure, or resell access without a written agreement. The Company may refuse or hold a Capture Set that fails registration, checksum, or lawfulness checks and will say why.

5. Deliverables and accuracy commitments

For each Capture Set accepted for processing, the Company commits to:

  • a registration residual at or below 5.8 mm RMS, failing which the affected stations are flagged for re-scan before the Reconstruction Run starts;
  • an element label agreement at or above 79% mean IoU against an independent surveyor's sample of at least 5% of elements, failing which the Trade Lot Takeoff is held for review before release;
  • a takeoff deviation under 5% on every sampled trade lot against the surveyor's metré, failing which the Reconstruction Run is redone at no cost;
  • export of the Scope Pack within 48 hours of the complete, accepted upload for buildings up to 6,000 m² of gross floor area, larger buildings being quoted with their own turnaround.

Where the Client provides no surveyor for the quality sample, the commitments on label agreement and takeoff deviation are reported against the Company's internal sample and marked as such. The Retrofit Frontier is a decision aid computed on a calibrated model: it is not a regulatory energy diagnosis, it is not a design, and the simulated energy class is delivered with its calibration error. Quantities in the Scope Pack are prepared for tender and are checked by the Client's quantity surveyor before contractual use.

6. Fees and payment

Fees are those published on ai-renovation.org or agreed in an order form, per building, by measured gross floor area, and exclude VAT. Single buildings are invoiced on Scope Pack export; programmes are invoiced monthly for the Scope Packs exported that month. Invoices are payable within 30 days. Late payment bears interest at three times the French legal interest rate plus the statutory recovery indemnity of 40 euros. Fees do not include capture, the regulatory energy diagnosis, or design-phase engineering.

7. Intellectual property

The Company owns the Service, its software, models, methods, and documentation, including the Element Labeller, the Reconstruction Engine, the Scenario Simulator, and the Run Console, and all improvements to them. The Client owns its Capture Set content and its unit-rate library. On payment, the Client owns the Scope Pack and the derived artifacts for its building (As-Built Model, Element Ledger, Trade Lot Takeoff, Residual Map, Retrofit Frontier) and may use them for any purpose connected with the building, including tendering and works. Neither party acquires rights in the other's marks.

8. Confidentiality

Each party keeps the other's non-public information confidential, uses it only for the contract, and protects it with reasonable care, for the duration of the contract and five years after. Capture Set content and Scope Packs are the Client's confidential information; the Service's methods and pricing terms are the Company's.

9. Warranties and liability

The Company performs the Service with professional care and to the commitments in section 5. Except as stated there, the Service is provided without other warranties, and the Company does not warrant that a simulated energy class will be certified, that a tender will be won, or that works will cost what the Scope Pack prices. The Company is not liable for indirect losses, loss of profit, or loss of subsidy. The Company's total liability for all claims under a contract is limited to the fees paid by the Client under that contract in the twelve months preceding the claim. Nothing in these Terms limits liability for death, personal injury, fraud, gross negligence, or breach of data protection obligations where the law does not permit such a limit.

10. Suspension and termination

Either party may terminate a programme for material breach not cured within 30 days of written notice. The Client may stop ordering at any time; Scope Packs already exported remain payable. On termination the Company returns or deletes the Client's content and derived artifacts within 90 days as instructed, subject to legal retention obligations, and provides an export of Scope Packs on request.

11. Changes to the Service and the Terms

The Company may improve the Service, including the element classes, export formats, and the Run Console, without reducing the commitments in section 5 for orders already accepted. Changes to these Terms are published on ai-renovation.org with a new date; changes that reduce the Client's rights apply to new orders only.

12. Governing law and jurisdiction

These Terms and any contract incorporating them are governed by French law. Any dispute that the parties cannot resolve within 30 days of written notice is submitted to the competent courts of Bobigny, France, without prejudice to mandatory rules of jurisdiction.

13. Contact and legal identity
